Please read these Terms of Service (“Terms”, “Terms of Service”) carefully before using the laddersplatformsandworkstands.com website (the “Service”) operated by Factory Supply (“us”, “we”, or “our”).Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who wish to access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you do not have permission to access the Service.

Payment Terms

Factory Supply accepts Visa, MasterCard, corporate American Express, and Discover credit cards, checks, electronic bank transfers, and ACH. First time customers must pay at time of purchase.

Standard Orders over $5,000.00 require a 50% deposit.

Custom or modified ladders, work platforms, crossovers, modified or custom lifts require a 50% deposit and they are non-returnable, non-refundable items. Because these products are custom, they may hold no value for resale to other buyers or we may not be able to resell the items built to your custom specifications.

Any purchases made or delivered out of country require payment prior to shipping.

Factory Supply offers Net 15 or 30 payment terms from date of receipt with approved credit. We reserve the right to decline credit terms. A late fee of 5% compounding monthly, starting at 15 days past the due date will be applied to all unpaid invoices, and a 10% late fee will begin at 30 days late. Due Upon Receipt items require payment to be in house within 10 calendar days from the delivery date. Financing and leasing options are available with approved credit.

Intellectual Property

The custom designs, descriptions and illustrations contained in our websites remain the exclusive property of Factory Supply and are protected by copyright, trademark and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connections with any other product or service or other website not owned and operated by us, without the prior written consent of Factory Supply.

We have not reviewed all of the sites linked to this internet website and are not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Factory Supply of the site. Use of any such linked website is at the user’s own risk.

Indemnification

As our customer, you agreed to defend, indemnify and hold harmless, Factory Supply and its officers, employees, directors, agents, contractors and their employees, from and against any and all claims, damages, obligations, losses, liabilities, costs or debts and expenses, including but not limited to attorney’s fees, resulting from or arising out of your use of any products purchased from Factory Supply which are offered for sale on any of our websites.

Custom Designs

Factory Supply offers design concept services to any of our customers who may require a specialized ladder or work platform that is specifically designed to access a particular area or object. Modifications to existing designs may be minimal or extensive. We will always follow Osha, Cal Osha and ANSI design guidelines, unless a Special Use designation applies or is requested.

Our design concept services are offered free as long as requested modifications to our designs are kept to a reasonable minimum. We utilize Solid Works as our designer tool. Factory Supply reserves the right to introduce a Change Order request system if the design process becomes protracted. This may result in additional costs being reflected in our price quotes.

For minor modifications there may be no need for engineering calculations or reviews, but where an engineering review is required, up to and including a request for a PE Stamp for drawings, Factory Supply will require advance payment for the engineering work, even if the design does not result in an actual order being placed

Revisions and Errata

In no event shall Factory Supply, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Warranty

Industry wide standard of warranty guarantees our products to be free from defects in material and workmanship for a period of one year from date of original purchase. Component parts may carry individual warranties as provided by the manufacturer. Our warranty does not extend to parts or end products subjected to misuse, neglect, damage in shipment, by accident, or failure to comply with operating instructions.

We will repair or replace any unit which is defective during the warranty period if that unit is returned to our factory properly packaged with a Return Authorization Number. Claims for unauthorized field labor or time charges will not be accepted.

Factory Supply shall be held harmless and cannot be held responsible for any consequential damages of any nature.

Freight

Factory Supply can provide an estimated freight cost based on our preferred carriers. NOTE: Freight cost may be subject to change depending on fuel surcharges, special delivery requirements, etc. While we do our very best to ensure that freight costs quoted are accurate, we will not be responsible for differences in freight estimates and actual freight costs.

Freight Claims

Each product has been inspected before shipment. The customer is responsible to inspect material at time of delivery, and should refuse shipment (if badly damaged) or make written notice to carrier upon receipt of damaged materials on the receiving documentation or delivery receipt.

Freight damages must be noted on the shipping receipt. It is the customer’s responsibility to alert us immediately of damaged merchandise and work with us in a timely fashion. Freight damage claims require a copy of the noted shipping receipt, and pictures of the damages incurred, along with a detailed description.

If the damage was not noted on the receipt because the damage was concealed by the wrapping or packaging materials, a concealed damaged claim must be filed within 15 days of receipt or the carrier will refuse the claim. Factory Supply cannot help with concealed damage claims as these must be handled directly between the customer and the carrier.

If damage occurred during shipment and was not noted on shipping receipt and we are not notified within 5 days, customer accepts product as is and is subject to the previously agreed on payment terms.

Governing Law

These Terms and Conditions shall be governed and construed in accordance with the laws of Florida, USA, without regard to its conflict of law provisions.

Returns

Returned items must be returned within 5 business days of receipt.

All returned items require a minimum 20% restocking fee for items off the shelf and possibly more, depending on rules of the manufacturer, plus outbound and return freight. If payment was made with a credit card, customer is responsible for a 6% return fee. If the returned product is a standard, non-custom item, it must be in “as new” condition.

Before the item may be shipped back, we will provide a Return Authorization Number that is required by the manufacturer. There is a cancellation fee of $50.00 for any standard product that is cancelled after confirmation of order for processing of paperwork. If issues are not reported within 7 calendar days of receipt of the product, this signifies acceptance of product and customer will adhere to previously agreed on payment terms.
